(Exchagne Gurus, Inc. Herein Referred to by EG, Inc.)

Warranty: EG, Inc. warrants using only its “best efforts” to identify the problem, provide an estimate, solve the problem, recover and or minimize damage to data. EG, Inc. further agrees that the services to be performed will be done so by qualified, careful and efficient employees in strict conformity with the best practices and highest reasonable applicable standards.

Confidential Information:EG, Inc. agrees not to use or disclose to anyone other than employees of the client any Confidential Information. If requested by client, EG, Inc. will execute a confidentiality agreement prohibiting use or disclosure of Confidential Information. For purposes of this agreement, Confidential Information is (a) information contained in any drives/media delivered to EG, Inc. pursuant to this agreement (b) information that relates to the client’s business affairs or that of any of its customers or affiliates.

Excuse for Nonperformance: Either party’s obligation of any part of this agreement shall be excused without liability when prevented by strike, act of God, governmental action, accident or any other condition beyond its reasonable control.

Legal Right of Ownership: Client warrants and represents to EG, Inc. of its right to be in possession of said equipment and or data furnished to EG, Inc. and will defend at its expense such claims against EG, Inc. Any drives left in the possession of EG, Inc. and unclaimed for a period of ninety days will become the property of Exchange Gurus, Inc and therefore properly disposed of.

Disclaimer: Client shall not in any action or proceeding, or otherwise, assert any claim for consequential damages against EG, Inc. or account of any loss of profit, loss of data, damaged equipment, incidental or indirect which the client may suffer or incur because of any act or omission of EG, Inc. or its employees in the performance of services, and the client hereby expressly waives all such claims. Client further agrees that EG, Inc. shall not be held liable by any third party participants that may have an interest in said data and/or equipment.
